This License governs your access to and use of the Next-Gen Chess platform, websites, applications, application programming interfaces, AI coaching features, content, and related services (collectively, the "Service"). By accessing or using the Service you agree to this License and to our Terms & Conditions and Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

"Content" means all software, source and object code, text, graphics, logos, icons, images, audio, video, board positions, puzzles, lesson materials, coaching output, data compilations, and the selection and arrangement thereof made available through the Service. "You" means the individual or entity accessing the Service; where you access the Service on behalf of a school, district, or organization, "you" includes that organization and you represent that you are authorized to bind it.

2. Grant of License

Subject to your continuous compliance with this License and the Terms & Conditions, Next-Gen Chess grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and its Content for your personal, educational, or internal classroom use. Teachers and schools may use the Service to deliver chess instruction to their students in accordance with the Terms & Conditions. No rights are granted except as expressly set out here.

3. Educational & Classroom Use

Educators may display, project, and use the Service and its Content with their students for non-commercial instructional purposes, and may print or download materials expressly offered for that purpose (such as lesson plans, worksheets, and certificates) solely for use with their own students. This permission does not authorize redistribution, resale, or making the Content available to the general public.

4. Restrictions

Except as expressly permitted by this License or by applicable law that cannot be contractually waived, you may not, and may not permit any third party to:

• Copy, reproduce, modify, translate, create derivative works of, distribute, publicly display, publicly perform, sell, resell, rent, lease, or otherwise commercially exploit any part of the Service or Content;
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying models, or trade secrets of the Service, except to the limited extent applicable law expressly permits;
• Circumvent, disable, or interfere with security, authentication, rate-limiting, or access-control features;
• Use automated tools, bots, scrapers, crawlers, or scripts to access, harvest, or interact with the Service, or to build a competing product, dataset, or model;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notice;
• Use the Service to develop, train, or improve any machine-learning model or dataset;
• Use the Service in violation of any applicable law, regulation, or third-party right.

5. Intellectual Property & Trademarks

The Service and all Content are owned by Next-Gen Chess and its licensors and are protected by United States and international copyright, trademark, patent, trade-secret, and other intellectual-property laws. "Next-Gen Chess," "ngchess.com," and associated logos are trademarks of Zafronix LLC. No trademark license is granted, and you may not use these marks without our prior written permission. All rights not expressly granted are reserved.

6. Open-Source & Third-Party Components

The Service incorporates open-source and third-party components that remain subject to their own license terms, including but not limited to chess.js and chessboard.js. Nothing in this License limits your rights under, or grants rights in conflict with, those component licenses. A list of such components and their licenses is available upon request.

7. Feedback

If you submit suggestions, ideas, or other feedback about the Service, you grant Next-Gen Chess a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose without obligation or compensation to you.

8. Term & Termination

This License is effective until terminated. It terminates automatically, without notice, if you breach any of its terms, and we may suspend or terminate your access at any time as described in the Terms & Conditions. Upon termination you must cease all use of the Service and destroy any downloaded Content. Sections 5 through 11 survive termination.

9. Disclaimer of Warranties

THE SERVICE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED COACHING, EVALUATIONS, OR SUGGESTIONS WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEXT-GEN CHESS OR ZAFRONIX LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).

11. Governing Law

This License is governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. This License is incorporated into, and should be read together with, our Terms & Conditions.
